Liability Mitigation and Dispute Prevention in High-Value Energy Service Contracts

Abstract
High-value energy service contracts combine extreme capital intensity, long performance horizons and loss potential far exceeding contract value, and the instruments used to manage that exposure have been refined for decades without a corresponding improvement in project outcomes. This paper critically reviews the literature on liability mitigation and dispute prevention in engineering, procurement and construction agreements, offshore drilling and well service contracts, and long-term operations and maintenance arrangements, synthesising evidence published up to 2019. It maps liability exposure across seven domains, evaluates the principal contractual instruments, including liquidated damages, aggregate caps, consequential loss exclusions, knock-for-knock indemnities, insurance and defect regimes, together with the standard form architectures that house them, and assesses the dispute prevention repertoire from front-end scope definition through early warning mechanisms, dispute boards and multi-tiered escalation. Five problems recur. Instruments are drafted for legal defensibility rather than behavioural effect. The evidence linking specific clauses to reduced dispute incidence rests largely on practitioner surveys and case studies of limited external validity. Jurisdictional divergence in the construction of exclusion and indemnity language undermines the portability of drafting practice. Risk allocation follows bargaining power rather than control capability. And the two literatures have developed separately despite operating on shared instruments that frequently pull against one another. The paper argues that liability allocation and dispute prevention are better treated as a single design problem, and that the mechanisms reviewed operate at the margin of outcomes determined largely by tendering behaviour, sanction-stage optimism and owner capability rather than by drafting.
